Terms of use

These terms cover use of starpenta.com and StarPenta Sierra Chart studies (free StarPenta studies, StarPentaPlus trial and paid access, and related contributions) provided by Cherry Valley Consulting LLC (“StarPenta,” “we,” “us”).

Agreement

  • By using this site, requesting study authorization or a trial, completing a purchase or contribution, or loading a StarPenta / StarPentaPlus study in Sierra Chart, you agree to these Terms and the Disclaimer.
  • If you do not agree, do not use the studies, entitlement features, or paid checkout.
  • We may update these Terms by posting a new date on this page. Continued use after an update means you accept the revised Terms.

License (StarPenta and StarPentaPlus)

  • We grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the StarPenta and/or StarPentaPlus studies we authorize for your Sierra Chart username, with a valid Sierra Chart installation, for your own charting and trading workflow.
  • Free StarPenta studies - no license fee while we offer them as free. That is not a promise of perpetual access, support, or updates. We may change, replace, or discontinue a free study, or revoke authorization, at any time.
  • StarPentaPlus - deeper studies offered with a time-limited free trial and/or a one-time paid unlock, as described on the site at the time you start a trial or pay.
  • Authorization is tied to one Sierra Chart username per trial or purchase. Sharing compiled DLLs, credentials, or authorization so others can use your entitlement is not allowed.
  • Custom or consulting work (if any) may have a separate quote or agreement; where silent, these Terms still apply.

StarPentaPlus trial

  • Where offered, you may start a free StarPentaPlus trial for a Sierra Chart username. Trial length and conditions are as stated on the site (for example a 21-day window enforced through Sierra Chart’s authorization EndDate).
  • Typically one trial per Sierra Chart username. Completing a trial (or consuming trial entitlement) does not entitle you to another free trial for that username.
  • Chart attribution may remain visible during a trial. Buying Plus clears attribution for that username as described on the site.
  • When the trial ends, Plus studies may stop calculating or show an expired notice until you purchase Plus or remove the studies. Restart Sierra Chart after authorization changes.
  • A trial does not create any right to a refund after a later purchase.

Purchases, contributions, and refunds

  • StarPentaPlus purchase - a one-time fee (price shown at checkout) unlocks StarPentaPlus for the Sierra Chart username you enter, and clears chart attribution on StarPenta and StarPentaPlus for that username, as described on the site.
  • Free Supporter contribution - a voluntary one-time contribution (amount shown at checkout) that clears chart attribution on free StarPenta studies for the Sierra Chart username you enter. It is not a subscription and does not by itself unlock StarPentaPlus.
  • Payments are processed by Stripe. We do not store your full card number. Taxes or fees may appear at checkout as required.
  • You must enter the correct Sierra Chart username (Account Name from Help → About). We are not responsible for failed or delayed activation caused by a typo or the wrong username.
  • All sales and contributions are final. Because StarPentaPlus includes a substantial free trial and delivery is digital entitlement via Sierra Chart, we do not offer refunds after a successful payment.
  • If payment succeeds but authorization fails on our side (for example a processing error), contact support@starpenta.com with your Sierra username and receipt. We will correct entitlement or cancel/refund that charge when the failure is ours.
  • Wrong username after a successful payment: contact support; we may move entitlement to the correct username you control when we can verify the request. That is a courtesy fix, not a refund.

Authorization

  • Access to compiled studies (DLLs) is typically tied to your Sierra Chart username via Sierra’s authorization mechanisms (including Service Level and optional EndDate).
  • You must provide the correct Sierra username you use to run the software. Offering someone else’s username without permission is not allowed.
  • If we use a site passphrase for register/cancel (free or trial flows), that value is only for managing entitlement with us; it is not your Sierra Chart account password. Do not submit your Sierra password to StarPenta.
  • Keep any entitlement passphrase private (password manager, etc.). Anyone with your Sierra username and that passphrase may be able to request removal of access.
  • After we change authorization, restart Sierra Chart so it can refresh downloads and Service Level. Allow a few minutes if studies do not appear immediately.

Acceptable use

  • Do not redistribute, resell, sublicense, or publicly host StarPenta or StarPentaPlus DLLs, cracked builds, or authorization workarounds.
  • Do not reverse engineer studies except to the limited extent applicable law cannot be waived.
  • Do not abuse entitlement or payment flows (excessive automated requests, credential stuffing, shared “farm” accounts to evade trial or license limits).
  • Do not use studies or the site for unlawful activity.

Website

  • Site content (text, images, branding) is for information about StarPenta. You may not scrape or republish it at scale without permission.
  • Screenshots and examples are illustrative only.
  • Third-party links (including Sierra Chart and Stripe Checkout) are provided for convenience; we are not responsible for their content or policies.

No warranty; liability

  • Studies and the site are provided “as is.” See the Disclaimer for trading risk, warranty disclaimer, and limitation of liability; those sections are part of your agreement with us.
  • For free studies and trials, you acknowledge you paid $0 for that license period and that our aggregate liability related to that use is limited to the maximum extent permitted by law (often none).
  • For a paid purchase or contribution, to the maximum extent permitted by law our aggregate liability arising from that transaction is limited to the amount you paid us for that transaction in the twelve (12) months before the claim.

Termination

  • You may stop using studies at any time. Where a cancel flow exists for free or trial access, follow the instructions on the site (e.g. Sierra username + passphrase).
  • We may suspend or terminate access if you breach these Terms, if required by Sierra Chart or law, or if we discontinue the offering.
  • Paid unlocks remain subject to these Terms and acceptable use; breach may result in revocation without refund.
  • Sections that by nature should survive (disclaimer, liability limits, ownership, acceptable use, refunds) survive termination.

General

  • These Terms are governed by the laws of the United States and the state in which Cherry Valley Consulting LLC is organized, without regard to conflict-of-law rules, except where mandatory consumer protections in your location apply.
  • If a provision is unenforceable, the rest remains in effect.
  • Failure to enforce a provision is not a waiver.
